# Aramco closes 49% of Humain, PIF raises $3B via SACE

> Four Saudi moves from 2 to 3 November: Aramco takes 49% of Humain, PIF closes SACE-backed loans, the CMA sets IPO rules, Miahona buys Shas Water.

Saudi deal log, 3 Nov 2026. By Ali Asif. News and my own view, not investment advice.

## My take

The Humain closing is the one with the longest tail, because it puts an energy company's operating data and a national AI platform under one roof. The CMA rules read to me like a market tidying its process before more listings arrive. Miahona is the small, clean one: signed in June, cleared in September, closed now.

## What moved

1. **Aramco completes its 49% stake in Humain** (Saudi Aramco, Sovereign and funds): Amount: about $2.6 billion (SAR 9.9 billion) in cash during 2026, plus AI, computing and digital assets. Investors: Saudi Aramco, Public Investment Fund. PIF and Aramco announced the closing; PIF keeps 51% and Humain plans 3 GW of AI data center capacity by 2030. 2. **PIF raises $3 billion in SACE-guaranteed credit facilities** (Public Investment Fund, Sovereign and funds): Amount: $3 billion equivalent ($1.78 billion plus a EUR 1.035 billion green tranche). Investors: SACE, 25 international banks. A PIF statement says the facilities support procurement from Italian suppliers and widen its funding sources, with the green tranche tied to its Green Finance Framework. 3. **CMA approves new IPO rules on underwriting, orders and projections** (Capital Market Authority, Policy and regulation): Underwriting agreements must be effective before book-building, orders become binding payment commitments, and prospectuses must carry forward-looking financial projections. 4. **Miahona completes the acquisition of Shas Water** (Miahona, M&A): Amount: SAR 95.01 million, plus an earn-out of up to SAR 7.7 million. Miahona now owns 100% of Shas Water Services, which supports its water distribution business in Riyadh and industrial cities. Four confirmed moves in two days, covering a sovereign AI build, a funding line, a rulebook and a small water deal. I've stuck to what the announcements say, and where a date wasn't stated I've left it out.

## Aramco completes its 49% stake in Humain

PIF and Aramco announced the closing of Aramco's acquisition of 49% of Humain, the Saudi AI company PIF launched in May 2025. Through a wholly owned subsidiary, Aramco is contributing about $2.6 billion (SAR 9.9 billion) in cash during 2026, along with AI, computing and digital assets. PIF keeps the other 51%.

The stated aim is an integrated AI business that spans data centers, computing, cloud, AI models and industry applications. Humain plans 3 GW of AI data center capacity by 2030, and Aramco expects to use Humain's infrastructure in its industrial operations while it monetizes its existing AI and digital assets.

I like the structure. Humain gets a customer with real operating data, and Aramco gets a partner built for compute. That pairing is hard to arrange between two unrelated companies.

## PIF's SACE-backed facilities

PIF raised the equivalent of $3 billion in credit facilities guaranteed by Italy's export credit agency, SACE. There are two tranches: $1.78 billion and a green tranche of EUR 1.035 billion, about $1.16 billion. A syndicate of 25 international banks provided the money, per a PIF statement.

The facilities support PIF's procurement from suppliers and wider business cooperation with Italy, and they diversify its funding sources. The green tranche will fund eligible projects under PIF's Green Finance Framework. This builds on the March 2025 memorandum of understanding between PIF and SACE.

## CMA approves new IPO rules

The Capital Market Authority approved new provisions for IPO practices, effective on publication. Underwriting agreements must be signed and effective before book-building begins, and underwriters must buy all offered shares. Investor orders become binding payment commitments, assessed on cash and cash equivalents. Prospectuses must include forward-looking financial projections, with the methodology, assumptions and risks disclosed. The CMA published the draft on 22 September with a 30-day consultation.

## Miahona and Shas Water

Miahona announced completion of its acquisition of 100% of Shas Water Services for SAR 95.01 million, with an earn-out of up to SAR 7.7 million tied to performance. The sale agreement was signed in June and the competition authority issued its no-objection in September. The financial impact shows from Q4 2026.

## What I'd watch next

Which Humain capacity milestones Aramco and PIF name first, which issuers are first to list under the new CMA rules, and whether Miahona announces further water acquisitions in Riyadh.
